ORD 2010-24TOWN OF TROPHY CLUB, TEXAS ORDINANCE NO. 2010-24 AN ORDINANCE UPDATING AND AMENDING THE SERVICE AND ASSESSMENT PLAN AND ASSESSMENT ROLL FOR THE TOWN OF TROPHY CLUB PUBLIC IMPROVEMENT DISTRICT NO.1 WHEREAS, on May 7, 2007, after due notice and a public hearing in the manner required by law, the Town Council of the Town of Trophy Club, Texas (the "Town Council") by Resolution No. 2007-08 authorized the creation of Public Improvement District No.1 (the "PID"); and WHEREAS, on November 5, 2007, after notice and a public hearing conducted in the manner required by law, the Town Council adopted Ordinance No. 2007-29, which was amended by Ordinance No. 2007-34 adopted on December 13, 2007 (as amended, the "Assessment Ordinance") approving a Service and Assessment Plan and Assessment Roll and the levy of assessments on property in the PID; and WHEREAS, Section 372.013 of the Public Improvement District Assessment Act, Chapter 372, Texas Local Government Code, as amended (the "PID Act") and the Service and Assessment Plan require that the Service and Assessment Plan and Assessment Roll be annually reviewed and updated; and WHEREAS, according to the owner of the property within the portion of the PID known as The Highlands at Trophy Club Neighborhood 8 ("Neighborhood 8"), there has been a change in the types of homes to be developed in Neighborhood 8 from townhomes to detached single family homes of a minimum lot size of 5,250 square feet; and WHEREAS, in light of such change in the development plans for Neighborhood 8, the Town Council has determined to amend the Service and Assessment Plan as it relates to the assessments to be allocated and apportioned to lots within the PID that range from 5,250 to 7,200 square feet (the "New Lot Size"); and WHEREAS, the Town Council has determined, in connection with the review and approval of the Annual Service Plan Update and as permitted by Section 372.015 of the PID Act, to amend and update the Service and Assessment Plan and Assessment Roll for the PID to allocate and apportion assessments to lots of the New Lot Size that reflect the special benefits accruing to lots of the New Lot Size from the public improvements; and WHEREAS, the Annual Service Plan Update and Amendments to the Service and Assessment Plan and the updated Assessment Roll (the "Annual Service Plan Update"), attached as Exhibit A hereto, conform the original Assessment Roll to the principal and interest payment schedule required for the bonds issued to finance the PID public improvements and secured by assessments on property within the PID, A-I thereby reducing the amounts listed on the original Assessment Roll, and update the Assessment Roll to reflect (i) the allocation and apportionment of the assessments to lots of the New Lot Size and (ii) prepayments, property divisions and changes to the budget allocation for PIO public improvements that occur during the year, if any; and WHEREAS, the Town Council called a public hearing regarding the amendment of the Service and Assessment Plan to apportion and allocate the assessments to lots of the New Lot Size as reflected in the Annual Service Plan Update and pursuant to Section 372.016 of the PIO Act; and WHEREAS, notice of such public hearing was mailed and published pursuant to Section 372.016 of the PIO Act in order to provide notice to all interested parties of the Town Council's proposed amendment of the Service and Assessment Plan to apportion and allocate assessments to lots of the New Lot Size; and WHEREAS, the Town Council convened the hearing at 7:00 p.m. on the 27th day of September, 2010, at which all persons who appeared, or requested to appear, in person or by their attorney, were given the opportunity to contend for or contest the Annual Service Plan Update, and the proposed apportionment and allocation of the assessments to lots of the New Lot Size and offer testimony pertinent to any issue presented on the amount of the assessments, purpose of the assessments, special benefit of the assessments, and the costs of collection and the penalties and interest on delinquent assessments; and WHEREAS, the Town Council closed the hearing, and, after considering all written and documentary evidence presented at the hearing, including all written comments and statements filed with the Town, the Town Council now desires to proceed with the adoption of this Ordinance which supplements the Assessment Ordinance and approves and adopts the Annual Service Plan Update, in conformity with the requirements of the PIO Act. NOW, THEREFORE, BE IT ORDAINED BY THE TOWN COUNCIL OF THE TOWN OF TROPHY CLUB, TEXAS: Section 1. Terms Capitalized terms not otherwise defined herein are defined in the Service and Assessment Plan, as supplemented and amended pursuant to the Annual Service Plan Update. Section 2. Incorporation of Findings The findings and determinations set forth in the preambles above are incorporated herein for all purposes and are hereby adopted. The Town Council hereby finds, determines, and ordains as follows: (a) The apportionment of the PIO Costs and Collection Costs (collectively, the "Costs") pursuant to the Service and Assessment Plan, as amended and updated by the Annual Service Plan Update, is fair and reasonable, reflects an accurate presentation of the special benefit each property will receive from the construction of the Authorized Improvements, and is hereby approved; and (b) All of the real property in the PIO which is being assessed in the amounts shown in the Assessment Roll attached to the Annual Service Plan Update will be benefited by the services and improvements proposed to be provided through the PIO in the Service and Assessment Plan, as amended and updated by the Annual Service Plan Update, and each parcel of real property will receive special benefits during the term of the Assessments equal to or greater than the total amount assessed; and (c) The method of apportionment of the Costs set forth in the Service and Assessment Plan, as amended and updated by the Annual Service Plan Update, results in imposing equal shares of the Costs on property similarly benefited, and results in a reasonable classification and formula for the apportionment of the Costs; and (d) The Annual Service Plan Update should be approved and the Assessment Roll in the form attached as Exhibit A to the Annual Service Plan Update (the "Assessment Roll") should be approved as the assessment roll for the PIO; and (e) A written notice of the date, hour, place and subject to this meeting of the Town Council was posted at a place convenient to the public for the time required by law preceding this meeting, as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended, and this meeting has been open to the public as required by law at all times during which this Ordinance and the subject matter hereof has been discussed, considered, and formally acted upon. Section 3. Annual Service Plan Update and Updated Assessment Roll The Annual Service Plan Update (including the updated Assessment Roll) attached hereto as Exhibit A are hereby accepted and approved and compliance with the PIO Act in all matters is required. Section 4. Allocation and Apportionment of Assessments for Costs of the Authorized Improvements The Town Council hereby amends the Service and Assessment Plan to allocate and apportion the assessments to lots of the New Lot Size as shown and described in the Annual Service Plan Update. . Section 5. Execution of First Supplement to Landowner Agreement The First Supplement to the Landowner Agreement (the "Amendment"), dated as of September 27, 2010, between the owner of the land within Neighborhood 8 and the Town is hereby approved and consented to by the Town Council. The Mayor is authorized to execute the Amendment and the Town Secretary is herein authorized to attest the Mayor's signature. Section 6. Applicability of Tax Code To the extent not inconsistent with this Ordinance, and not inconsistent with the PID Act or the other laws governing public improvement districts, the provisions of the Texas Tax Code shall be applicable to the imposition and collection of Assessments by the Town. Section 7. Lien Priority As provided in the Landowner Agreement, the Town Council and the Landowners intend for the obligations, covenants and burdens on the Landowners of Assessed Properties, including without limitation such Landowners' obligations related to payment of the Assessments and the Annual Installments, to constitute a covenant running with the land. The Assessments and the Annual Installments shall be binding upon the Assessed Parties, as the Landowners of Assessed Properties, and their respective transferees, legal representatives, heirs, devisees, successors and assigns in the same manner and for the same period as such parties would be personally liable for the payment of ad valorem taxes under applicable law. Assessments shall have lien priority as specified in the Service and Assessment Plan and the PID Act. Section 8. Cumulative Repealer This Ordinance shall be cumulative of all other Ordinances and shall not repeal any of the provisions of such Ordinances except for those instances where there are direct conflicts with the provisions of this Ordinance. Ordinances or parts thereof in force at the time this Ordinance shall take effect and that are inconsistent with this Ordinance are hereby repealed to the extent that they are inconsistent with this Ordinance. Provided, however, that any complaint, action, claim or lawsuit which has been initiated or has arisen under or pursuant to such Ordinance on the date of adoption of this Ordinance shall continue to be governed by the provisions of that Ordinance and for that purpose the Ordinance shall remain in full force and effect. Section 9. Severability If any provIsion, section, subsection, sentence, clause, or phrase of this Ordinance, or the application of same to any person or set of circumstances is for any reason held to be unconstitutional, void, or invalid, the validity of the remaining portions of this Ordinance or the application to other persons or sets of circumstances shall not be affected thereby, it being the intent of the Town Council that no portion hereof, or provision or regulation contained herein shall become inoperative or fail by reason of any unconstitutionality, voidness, or invalidity of any other portion hereof, and all provisions of this Ordinance are declared to be severable for that purpose. Section 10. Engrossment and Enrollment The Town Secretary of the Town of Trophy Club is hereby directed to engross and enroll this Ordinance by filing this Ordinance in the ordinance records of the Town as required in the Town Charter. Section 11. Effective Date This Ordinance shall take effect upon passage and execution hereof in accordance with the law. The Town of Trophy Club Public Improvement District No. I Special Assessment Revenue Bonds, Series 2007 ( the "2007 Bonds") in the aggregate principal amount of $27,500,000 were issued to finance. refinance. provide or otherwise assist in the acquisition, construction and maintenance of the public improvements provided for the benefit of the property in the PID. A service and assessment plan (the "Service and Assessment Plan") was prepared at the direction of the Town identifying the public improvements (the "Authorized Improvements") to be provided by the PID. the costs of the Authorized Improvements, the indebtedness to be incurred for the Authorized Improvements. and the manner of assessing the property in the PID for the costs of the Authorized Improvements. Pursuant to Sections 372.013. 372.014, and 372.015 orthe Public Improvement District Act (the "PID Act"), the Service and Assessment Plan is to be reviewed and updated annually. The update of the Service and Assessment Plan (the "Annual Service and Assessment Plan Update") lor 20 I 0 includes the 20 I 0 assessment roll (the "20 I 0 Assessment Roll") identifying the assessments on each parcel. based on the method of assessment set forth in the Service and Assessment Plan as amended pursuant to this Annual Service Plan Update. Section 372.015 of the PID Act states that the governing body of the municipality shall apportion the cost of an improvement to be assessed against property in an improvement district. and the apportionment shall be made on the basis of special benellts accruing to the property because of the improvement. Section 372.015(d) provides that the amount of assessment for each property owner may be adjusted following the annual review of the service plan. In light of changes in the development plans for Neighborhood 8 (as dellned herein). amendments to the lot classillcation system providing for apportionment of bene lit are necessary. B. If not paid in full, the Assessment shall be payable in thirty annual installments of principal and interest (the "Annual Installments") beginning with the 2008 tax year. Originally it was anticipated that Neighborhood 8 would consist entirely of townhomes which are classified as Lot Type 5 (minimum lot size of 3.000 square feet) in the Service and Assessment Plan. As provided in the Service and Assessment Plan, the Town Council determined that PID Costs should be allocated on the basis of relative value of property to be benefitted, with relative values for calendar year 2007 employed at the time the Service and Assessment Plan was prepared, If Neighborhood 8 had originally been planned for single family lots, then the anticipated average unit values in 2007 dollars would have been comparable to the 2007 average unit values for Lot Type 4 Lots, Accordingly, the Town Council has determined to amend the Lot Type 4 classification to include lots with a minimum of 5,250 square feet or greater (but not Lot Type I, 2, or 3), Therefore, Neighborhood 8 lots will be classified as Lot Type 4 Lots at the time the property is platted (i.e., on a phase by phase basis). The definition of Lot Type 4 contained in the Service and Assessment Plan is updated and amended hereby to include lots with a minimum of 5,250 square feet or greater (but not Lot Types 1,2, or 3). The corresponding revision to the Assessment Roll is detailed below. The amendments described herein have been requested by and agreed to by the sale owner of the land in Neighborhood 8. D. Update of the Assessment Roll The Assessment Roll is to be updated each year to relleet: The identillcation of each Assessed Parcel in the PID (including, if available, the tax parcel identification number for such Parcel), (ii) the Assessments, including any adjustments as provided for in the Service and Assessment Plan or in the Act; (iii) the Annual Installment for the relevant year (if such Assessment is payable) for each Parcel; (iv) prepayments of the Assessments as provided for in this Service and Assessment Plan and (B) any other changes helpful to the administration of the PlDand permitted by law. The 20 I 0 Assessment Roll is shown in Exhibit A. Each Parcel is identified, along with the Assessment on each Parcel and the Annual Installment to be collected. Assessments are to be reallocated for the subdivision of any Parcels. According to the Service and Assessment Plan, upon the subdivision of any Parcel, the Administrator shall reallocate the Assessment for the Parcel prior to the subdivision among the new subdivided Parcels according to the following formula: A = B x (C "" D) Where the terms have the following meanings: A = the Assessment for each new subdivided Parcel.
