Agenda Packet TC 09/28/2009 - SupplementAutry Warren Senior Director Transmission 8 Municipal Relations Oncor Electric Delivery 1601 Bryan St. Suite 23-045C Dallas, Texas 75201 Tel 214 486 3863 Fax 214 486 2180 awarrent ®oncor.com September 14, 2009 To the Honorable Mayor and City Council of the Town of Trophy Club: In 2006 Oncor Electric Delivery Company entered into a Settlement Agreement with a group of 108 Steering Committee Cities that included annual payments to those cities. In addition, Oncor entered into an Agreement to Resolve Outstanding Franchise Issues ("Franchise Settlement Agreement") that included a 5% increase of the 2005 franchise fee factor for each city over a 4 year period (2006 — 2%, 2007 — 1 %, 2008 — 1 %, 2009 — 1%). The Settlement Agreement and Franchise Settlement Agreement were also offered to all other cities served by Oncor, and Oncor and your City entered into those Agreements. On March 2, 2009, 1 sent you a letter concerning Oncor's annual payment pursuant to the Settlement Agreement. As I indicated, Oncor's annual payment under Paragraph 4 of the Settlement Agreement is to be pro -rated to the date that new rates take effect. At that time, I indicated that Oncor estimated that a Final Order would be issued in Oncor's pending system -wide rate case before the Public Utility Commission of Texas ("PUC" or "Commission"), Docket No. 35717, on or about July 15, 2009, and Oncor subsequently issued a payment to you equal to 7/12 of the annual payment. Since delivery of that payment, at the request of the PUC Commissioners, Oncor extended the time for the Commission to enter a Final Order in the pending rate case to August 31. The Commission's Final Order was issued on August 31, 2009. In compliance with the Final Order, Oncor filed its Compliance Tariff on September 1, and Oncor's new rates will take effect on or about 20 days from that filing pursuant to Ordering Paragraph 5 of the Commission's Final Order. When the revised Tariffs become effective, Oncor will calculate the final settlement payment amount to cover the time between August 1, 2009 and the effective date of the Tariffs and will make a payment to each city as soon after the Tariff effective date as possible. No action is required by your City. If you are currently set up to receive your payments by EDI, this payment will be made electronically. If not, a check will be delivered as soon after the Tariff effective date as possible. In addition, the Commission's Final Order in Docket No. 35717 disallowed the 5% franchise fee factor increase contained in the Franchise Settlement Agreement. Consistent with Paragraph 4 of the Franchise Settlement Agreement, your City's franchise fee factor will revert back to the 2005 franchise fee factor that was in effect prior to that Agreement. This change will be effective on all franchise fees paid on or after October 1, 2009. This final payment and the adjustment to the franchise fee factor completes the terms of the Settlement Agreement and Franchise Settlement Agreement with respect to these payments. The cities/towns were asked to advise the district of its selection in the form of a resolution by 5 p.m. on September 9, 2009. Denco received fourteen resolutions from participating cities/towns. Mayor Stephens received twelve (12) votes and Bob Redder received three (2) votes.
