ARBOR DAY
A PROCLAMATION OF THE TOWN COUNCIL OF THE TOWN OF TROPHY CLUB,
TEXAS, TO RECOGNIZE APRIL 13TH, 2007 AS ARBOR DAY; RECOGNIZING THAT
2007 IS THE 135th ANNIVERSARY OF THE HOLIDAY OF ARBOR DAY; AND
PROVIDING AN EFFECTIVE DATE.
Whereas, In 1872, J. Sterling Morton proposed to the Nebraska Board of
Agriculture that a special day be set aside for the planting of trees, and
Whereas, this holiday, called Arbor Day, was first observed with the planting of
more than a million trees in Nebraska, and
Whereas, 2007 is the 135th anniversary of the holiday and Arbor Day is now
observed throughout the nation and the world, and
Whereas, trees can reduce the erosion of our precious topsoil by wind and water,
cut heating and cooling costs, moderate the temperature, clean the air, produce life-
giving oxygen, and provide habitat for wildlife, and
Whereas, trees are a renewable resource giving us paper, wood for our homes,
fuel for our fires, and beautify our community, and
Whereas, trees, wherever they are planted, are a source of joy and spiritual
renewal.
NOW THEREFORE, BE IT PROCLAIMED BY THE TOWN COUNCIL OF THE TOWN
OF TROPHY CLUB, TEXAS:
Section 1. In the Town of Trophy Club, and the Mayor and Council urge all
citizens to celebrate Arbor Day and to support efforts to protect our trees and
woodlands, and
Section 2. The Mayor and Council urge all citizens to plant trees to gladden the
heart and promote the well-being of this and future generations.
That this Proclamation shall become effective from and after its date of passage
in accordance with law.

EXPLANATION:
The current plan the Town is operating under is the Denton County Emergency
Management Plan. Over the past year staff has diligently readdressed all annexes and
filed with the State for the Town’s Emergency Management Plan.

between the Town and Denton County to provide for County collection of
PID Assessments for Town of Trophy Club Public Improvement District No.
1 (The Highlands of Trophy Club Project).
Explanation:
The Town currently has a contract with Denton County for the collection of taxes. This
contract authorizes Denton County to collect the PID assessments. Staff and Municipal
have been working with the County and the County’s software provider to finalize the
terms of the agreement. As of the date of the agenda, there are still a few items to be
worked out, and those are highlighted in yellow for your information.

INTERLOCAL COOPERATION AGREEMENT – PID ASSESSMENTS
THIS AGREEMENT is made and entered into this ___ day of __________, 200_,
by and between Denton County, Texas, a political subdivision of the State of Texas
(“COUNTY”) and MUNICIPALITY of Trophy Club, Texas, a home rule municipal
corporation organized and existing under the laws of the State of Texas
(“MUNICIPALITY”).
WHEREAS, COUNTY and MUNICIPALITY mutually desire to be subject to the
provisions of Tex. Gov’t Code Ann. Ch. 791, the Interlocal Cooperation Act, and Tex.
Tax Code Ann. § 6.24; and
WHEREAS, MUNICIPALITY has the authority to contract with COUNTY for
COUNTY to act as tax assessor and collector for MUNICIPALITY, and COUNTY has
the authority to so act; and
WHEREAS, COUNTY and MUNICIPALITY entered into an Interlocal
Cooperation Agreement – Tax Collection on or about May 21, 2007 (hereinafter “Tax
Collection Agreement”); and
WHEREAS, Subsequent to the execution of the Tax Collection Agreement,
MUNICIPALITY consented to the formation of the Trophy Club Public Improvement
District No. 1 within its corporate boundaries (hereinafter “PID”); and
WHEREAS, MUNICIPALITY has levied assessments against the property
located within the boundaries of the PID in accordance with Chapter 372 of the Texas
Local Government Code, as amended; and

WHEREAS, MUNICIPALITY and COUNTY desire to enter into this Agreement
in order to obtain the services of COUNTY in collecting PID Assessments, as defined
herein, due from those property owners living within the PID boundaries in accordance
with terms as more fully set forth herein in this Agreement (hereinafter “Agreement”);
and
NOW, THEREFORE, for and in consideration of the mutual promises, covenants,
and agreements contained herein, COUNTY and MUNICIPALITY agree as follows:
SECTION I.
DEFINITIONS
Capitalized terms used herein shall have the meanings ascribed to them as
follows:
1.01 “Parcel” means a parcel identified by either a tax map identification number
assigned by the Denton County Appraisal District for real property tax purposes or by lot
and block number in a final subdivision plat recorded in the real property records of
Denton County.
1.02 “Party” and “Parties” means COUNTY or MUNICIPALITY, individually or
collectively.
1.03 “PID” means Town of Trophy Club Public Improvement District No. 1 (The
Highlands at Trophy Club).
1.04 “PID Act” means Texas Local Government Code Chapter 372,
Improvement Districts in Municipalities and Counties, Subchapter A, Public
Improvement Districts, as amended.

1.05 “PID Assessments” means the assessments levied against a Parcel
imposed pursuant to the PID Assessment Ordinance and the PID Authorized Services
Ordinance, as well as the attached PID Service and Assessment Plans, as shown on
the PID Assessment Rolls.
1.06 “PID Assessment Ordinance” means Ordinance No. 2007-29, which was
adopted, passed, and approved by MUNICIPALITY’s governing body on November 5,
2007 and any and all subsequent amendments thereto, including without limitation
Ordinance No. 2007- ___ approved by MUNICIPALITY’S governing body on December
13, 2007.
1.07 “PID Assessment Rolls” means the documents included in the PID
Service and Assessment Plans, as updated, modified, or amended from time to time in
accordance with the procedures set forth in the PID Service and Assessment Plans and
the PID Act.
1.08 “PID Authorized Services Ordinance” means Ordinance No. 2007-23,
which was adopted, passed, and approved by MUNICIPALITY’s governing body on
September 24, 2007.
1.09 “PID Service and Assessment Plans” means the plan(s) prepared
pursuant to Sections 372.013, 372.014, 372.015, and 372.106 of the PID Act and
adopted by MUNICIPALITY’s governing body.
SECTION II.
TERM / TERMINATION
2.01 The effective date of this Agreement shall be the ___ day of __________,
200_. The term of this Agreement shall be for a period of one year, from

_____________, 200_, to and through ____________, 200_. This Agreement shall be
automatically renewed for an additional one year term at the discretion of COUNTY and
MUNICIPALITY, unless written notice of termination is provided by the terminating Party
to the other Party prior to one hundred fifty (150) days of the expiration date of the initial
term of this Agreement.
2.02 In addition to written notice provided prior to automatic annual renewal, as
set forth in Paragraph 2.01, the Parties may terminate this Agreement at any time by
mutual agreement set forth in writing, signed by the Parties, and authorized by the
Parties’ respective governing bodies. In the event of termination, the withdrawing Party
shall be obligated to make such payments as are required by this Agreement through
the balance of the PID Assessment year in which notice is given. COUNTY shall be
obligated to provide services pursuant to this Agreement during such period.
SECTION III.
SERVICES AND CONSIDERATION
For the purposes and consideration herein stated and contemplated, COUNTY
shall provide the following necessary and appropriate services for MUNICIPALITY to
the maximum extent authorized by this Agreement, without regard to race, sex, religion,
color, age, disability, or national origin:
3.01 COUNTY, by and through its duly elected County Tax Assessor/Collector,
shall serve as the tax assessor/collector for MUNICIPALITY for the PID Assessments
for each year for the duration of this Agreement. COUNTY agrees to perform all
necessary collecting duties for MUNICIPALITY and MUNICIPALITY does hereby
expressly authorize COUNTY to do and perform all acts necessary and proper to collect

the PID Assessments. COUNTY agrees to collect the PID Assessments, penalties,
interest, and all other amounts that are collected or actions that are taken under
COUNTY’s procedures for ad valorem taxes.
3.02 COUNTY agrees to prepare and mail all necessary PID Assessment
statements, provide monthly collection reports to MUNICIPALITY, develop and maintain
such other records and forms as are necessary or required by State law, rules, or
regulations.
3.03 COUNTY understands that the PID Act allows the PID Assessments to be
paid in full at any time. If any PID Assessment is not paid in full, COUNTY will collect it
in an annual installment each year in the amount shown on the PID Assessment Roll,
which includes interest on the outstanding PID Assessments and annual collection
costs, as defined in the PID Service and Assessment Plans.
3.04 COUNTY shall commence collection of the PID Assessments with tax bills
that are mailed in 2008, unless otherwise notified by MUNICIPALITY that the PID
Service and Assessment Plans and the PID Assessment Rolls have terminated.
COUNTY understands that the PID Assessment Rolls will be updated annually.
MUNICIPALITY shall provide COUNTY with the updated PID Assessment Rolls no later
than ____________ of each year.
3.05 COUNTY agrees to collect the annual installments of the PID Assessments,
on behalf of MUNICIPALITY, in the same manner and at the same time as ad valorem
taxes, and to apply the same penalties and procedures in case of delinquencies as are
applied to ad valorem taxes.

3.06 COUNTY agrees to develop and maintain written policies and procedures
of its operation. COUNTY further agrees to make available full information about the
operation of COUNTY Tax Office to MUNICIPALITY, and to promptly furnish written
reports to keep MUNICIPALITY informed of all financial information affecting it.
3.07 MUNICIPALITY agrees to promptly deliver to COUNTY all records that it
has accumulated and developed regarding the PID Assessments, and to cooperate in
furnishing or locating any other information and records needed by COUNTY to perform
its duties under the terms and conditions of this Agreement.
3.08 COUNTY agrees to allow an audit of the PID Assessment records in
COUNTY’s possession during normal working hours with at least 48 hours advance,
written notice to COUNTY. The expense of any and all such audits shall be paid by
MUNICIPALITY. A copy of any and all such audits shall be furnished to COUNTY.
3.09 If required by MUNICIPALITY, COUNTY agrees to obtain a surety bond
for COUNTY Tax Assessor/Collector. Such bond will be conditioned upon the faithful
performance of the Tax Assessor/Collector’s lawful duties, will be made payable to
MUNICIPALITY, and will be in an amount determined by the governing body of
MUNICIPALITY. The premium for any such bond shall be borne solely by
MUNICIPALITY.
3.10 COUNTY agrees that it will fax, mail, or post to a secure website collection
reports to MUNICIPALITY listing current PID Assessments, delinquent PID
Assessments, penalties, and interest on a weekly basis.

3.11 MUNICIPALITY retains its right to select its own delinquent tax collection
attorney and COUNTY agrees to reasonably cooperate with the attorney selected by
MUNICIPALITY in the collection of delinquent PID Assessments and related activities.
SECTION IV.
RIGHTS AND DUTIES OF THE PARTIES
4.01 COUNTY hereby designates the Denton County Tax Assessor/Collector to
act on behalf of COUNTY Tax Office and to serve as liaison for COUNTY with
MUNICIPALITY. COUNTY Tax Assessor/Collector, and/or his/her designee, shall
ensure the performance of all duties and obligations of COUNTY, shall devote sufficient
time and attention to the execution of said duties on behalf of COUNTY in full
compliance with the terms and conditions of this Agreement, and shall provide
immediate and direct supervision of COUNTY Tax Office employees, agents,
contractors, subcontractors, and/or laborers, if any, in the furtherance of the purposes,
terms, and conditions of this Agreement for the mutual benefit of COUNTY and
MUNICIPALITY.
4.02 MUNICIPALITY hereby designates the Director of Finance or his or her
designee to act on behalf of MUNICIPALITY and to serve as liaison for MUNICIPALITY
to ensure the performance of all duties and obligations of MUNICIPALITY as stated in
this Agreement. MUNICIPALITY’s designee shall devote sufficient time and attention to
the execution of such duties on behalf of MUNICIPALITY in full compliance with the
terms and conditions of this Agreement, shall provide immediate and direct supervision
of MUNICIPALITY employees, agents, contractors, subcontractors, and/or laborers, if

any, in the furtherance of the purposes, terms, and conditions of this Agreement for the
mutual benefit of MUNICIPALITY and COUNTY.
4.03 COUNTY accepts responsibility for the acts, negligence, and/or omissions
related to the PID Assessments of all County employees, agents, subcontractors,
and/or contract laborers, and for those actions of other persons doing work under a
contract or agreement with COUNTY to the extent allowed by law.
4.04 MUNICIPALITY accepts responsibility for the acts, negligence, and/or
omissions of all MUNICIPALITY employees, agents, subcontractors, and/or contract
laborers, and for those actions of other persons doing work under a contract or
agreement with MUNICIPALITY to the extent allowed by law.
4.05 MUNICIPALITY understands and agrees that MUNICIPALITY, its
employees, servants, agents, and representatives shall at no time represent themselves
to be employees, servants, agents, and/or representatives of COUNTY. COUNTY
understands and agrees that COUNTY, its employees, servants, agents, and
representatives shall at no time represent themselves to be employees, servants,
agents, and/or representatives of MUNICIPALITY.
4.06 MUNICIPALITY agrees to pay COUNTY for the services set forth in this
Agreement a fee to be stated in the annual budget prepared by COUNTY Tax
Assessor/Collector and approved by MUNICIPALITY. The amount of the fee shall be
derived from the actual cost of collections and shall not exceed _____ per Parcel basis,
unless otherwise agreed by the Parties in writing.
4.07 COUNTY agrees to remit all PID Assessments, penalties, and interest
collected on MUNICIPALITY’s behalf and to deposit such funds into MUNICIPALITY’s

depositories, as designated by MUNICIPALITY, in writing, at the time MUNICIPALITY
provides the updated PID Assessment Rolls.
4.08 This Agreement represents the entire agreement between MUNICIPALITY
and COUNTY and supersedes all prior negotiations, representations, and/or
agreements, either written or oral. This Agreement may be amended only by written
instrument signed by the governing bodies of both MUNICIPALITY and COUNTY or
those authorized to sign on behalf of those governing bodies.
4.09 Any and all written notices required to be given under this Agreement shall
be delivered or mailed to the listed addresses:

4.10 In the event that any portion of this Agreement shall be found to be
contrary to law, it is the intent of the Parties that the remaining portions shall remain
valid and in full force and effect to the extent possible.
4.11 The undersigned officers and/or agents of the Parties are the properly
authorized officials and have the necessary authority to execute this Agreement on
behalf of the Parties. Each Party hereby certifies to the other than any resolutions

necessary for this Agreement have been duly passed and are now in full force and
effect.
4.12 This Agreement shall be governed by and construed in accordance with the
laws of the State of Texas and venue shall lie exclusively in Denton County.

4.05(B)(2) of Article IV, Chapter 5 of the Code of Ordinances relating to
number, size and placement of political signs.
EXPLANATION:
The following input was provided by Council at their August 20, 2007 meeting:
D.8 Discuss and receive input relative to potential amendments to Section 4.05(B)(2) of Article IV,
Chapter 5 of the Code of Ordinances relating to number, size and placement of political signs.
Town Manager Emmons introduced the item requesting Council’s input and direction in order to formulate
the changes.
Mayor Pro Tem Edstrom would like to limit the number of signs in any given yard to the number of open
seats or candidate positions. Council discussed the right of way and Town Manager Emmons explained
section 5 has an exemption for temporary signs.

ARTICLE IV, ENTITLED “SIGN REGULATIONS”, BY
AMENDING SECTION “SECTION 4.05(B)(2)”

INCORPORATION OF PREMISES; PROVIDING FOR
AMENDMENT; PROVIDING A SAVINGS AND REPEALER
CLAUSE; PROVIDING A SEVERABILITY CLAUSE;
PROVIDING A PENALTY NOT TO EXCEED THE SUM OF

WHEREAS, Ordinance No. 2007-10 was adopted on March 5, 2007 revising the
Number, Size and Placement for political signs located on non-residential or unplatted
property as a benefit to the Town by promoting an aesthetically refined community for
the citizens of Trophy Club and by protecting the integrity and character of
neighborhoods; and
WHEREAS, the Town Council hereby finds that the amendment of Section
4.05(B)(2) of Article IV, Chapter 5, of the Code of Ordinances as further specified herein
serves the best interests of the Town.
NOW, THEREFORE, BE IT ORDAINED BY THE TOWN COUNCIL OF
THE TOWN OF TROPHY CLUB, TEXAS:
SECTION 1.
INCORPORATION OF PREMISES
That the above and foregoing premises are true and correct and are incorporated
herein and made a part hereof for all purposes.
SECTION 2.
AMENDMENT
2.01 Article IV entitled “Sign Regulations” of Chapter 5, entitled “General Land Use”
of the Code of Ordinances of the Town is hereby amended to revise Section 4.05(B)(2),
entitled “Temporary Signs ” so that 4.05(B)(2) is hereby revised as follows:
2. Number, Size and Placement:
A political sign shall not exceed thirty-six (36) square feet in area nor
exceed eight feet (8’) in height, as measured from the ground. A political

sign may not be illuminated or have any moving elements. No more than
one (1) of such signs for each political candidate or issue on the election
ballot shall be erected on any residentially zoned parcel of land. The front
and back surface of a political sign shall constitute one sign. For signs with
three or more surfaces, each surface shall constitute a separate sign for
purposes of size requirements. Signs with three or more surfaces are
prohibited on residentially zoned parcels of land. Only one sign is allowed
For signs located on non-residential or unplatted property, the minimum
distance between single or multisided signs for each political candidate or
issue on the election ballot. shall be one hundred feet (100’).
SECTION 3.
SAVINGS AND REPEALER
That this Ordinance shall be cumulative of all other Ordinances of the Town
affecting the Sign Regulations and shall not repeal any of the provisions of such
Ordinances except in those instances where provisions of those Ordinances are in
direct conflict with the provisions of this Ordinance; whether such Ordinances are
codified or uncodified, and all other provisions of the Ordinances of the Town of Trophy
Club, codified or uncodified, not in conflict with the provisions of this Ordinance, shall
remain in full force and effect. Notwithstanding the foregoing, any complaint, action,
cause of action or claim which prior to the effective date of this Ordinance has been
initiated or has arisen under or pursuant to such repealed Ordinance(s) shall continue to
be governed by the provisions of that Ordinance and for that purpose the Ordinance
shall be deemed to remain and continue in full force and effect.
SECTION 4.
SEVERABILITY
If any section, article, paragraph, sentence, clause, phrase or word in this
Ordinance, or application thereof to any person or circumstance, is held invalid or
unconstitutional by a Court of competent jurisdiction, such holding shall not affect the
validity of the remaining portions of the Ordinance, and the Town Council hereby
declares it would have passed such remaining portions of the Ordinance despite such
invalidity, which remaining portions shall remain in full force and effect.
SECTION 5.
ENGROSSMENT AND ENROLLMENT
The Town Secretary of the Town of Trophy Club is hereby directed to engross
and enroll this Ordinance by copying the exact Caption and Effective Date clause in the
minutes of the Town Council of the Town of Trophy Club and by filing this Ordinance in
the Ordinance records of the Town.
SECTION 6.
PENALTY
It shall be unlawful for any person to violate any provision of this Ordinance, and
any person violating or failing to comply with any provision of this Ordinance shall be
fined, upon conviction, not less than One Dollar ($1.00) nor more than Two Thousand

Dollars ($2,000.00), and a separate offense shall be deemed committed upon each day
during or on which a violation occurs or continues.
SECTION 7.
EFFECTIVE DATE
This Ordinance shall take effect from and after its date of passage in accordance
with law, and it is so ordained.

Town Manager Emmons said the meeting is scheduled for December 13th at 7:00 PM in
the Public Service Conference room. The Resolution is to approve the amendments to
the Service and Assessment Plan (SAP) which Council passed on May 7, 2007. The
amendments are needed as the original SAP had a 6.25% interest rate, with a 7.25%
cap for fluctuation. Because the market has increased the cap needs to be adjusted to
8.00% with the assessment bond sale calculated at a 7.25%. The project list will remain
the same.

Council member Cates requested the December 17th Agenda include a presentation by
Captain Climato.

Founders Day was held on Monday, January 8, 2006 and the Town had a fairly decent
turnout.

Staff is asking Council for input on how the Citizen of the Year Board should be
comprised and if Council would like to have the Founder’s Day reception in conjunction
of a Council meeting and award of the 2007 Citizen of the Year.

Please allow this letter to serve as notice that I wish to designate Stephen Seidel to
serve as Acting Town Manager in compliance with Section 4.06 of the Trophy Club
Town Charter. The Acting Town Manager shall perform all administrative duties
normally reserved for the Town Manager during a period of absence or disability that
would prevent me from performing my required duties. This designation will remain in
full force until a time in which another designee is recommended to and approved by the
Town Council.

Pursuant to Texas Government Code, Annotated, Section 551.074(a)(1)
"Personnel Matters," the Council will remain in Executive Session, unless
the employee who is the subject of the personnel matter elects an open
meeting, to deliberate the appointment, employment, evaluation,
reassignment, duties, discipline, or dismissal of a public officer or
employee relating to:
(1) Duties, goals and objectives of Town Secretary, Lisa Ramsey.
(2) Terms of contingent employment separation agreement with Lisa
Ramsey.
EXPLANATION:
Draft from November 19th Minutes:
Motion made by Wilson; seconded by Moss to enter into a separation agreement with Lisa Ramsey,
providing a severance payment of $28,000.00.
Council member Wilson confirmed her motion included all seven points agreed upon by Frank Waite and
Ralph Scoggins; the second agreed.
Mayor Sanders listed the seven points:
1. Resign effective November 19th and release the Town of all claims and causes of action
2. The Town would pay accrued salary to date, plus two weeks of unused accrued vacation and
personal day
3. The Town would pay a total sum of $28,000 a severance in two installments, representative of
five months salary
4. The Town would pay Ms. Ramsey’s medical premium under the Town’s group medical plan
through May 2008, unless she becomes eligible for coverage under some other plan
5. Ramsey agreed to remain available to consult with the Town Manager through May 2008
6. The Town would provide a letter of recommendation to be placed in her employee personnel file
7. The pending grievance submitted against her would be dismissed as moot.
Discussion continued.
Substitute motion made by Edstrom; seconded by Moss, placing Lisa Ramsey on a six-month
probationary period, before that time frame starts, she will set individual goals and objectives for review of
the Council, Council will set individual goals and objectives for Lisa, at the end of that six-month probation
Council will have the option to continue her employment or move forward with the termination guidelines
as discussed with Council this evening.

Frank Waite clarified should the probationary period not be complete to the satisfaction of the Council, the
terms of the separation will be as agreed by the parties, as presented and discussed during executive
session. Both the mover and second agreed.
Sterling amended the substitute motion for the probationary period to commence prior to the canvassing
of new Council members in May 2008, seconded by Edstrom.
Sterling amended the six month probationary period to five months, commencing prior to the canvassing
of new Council members in May 2008. The second agreed.
Amendment passed 4:1, with Wilson opposing.
Substitute motion passed 4:1, with Wilson opposing.
