Motion: Motion made by Mayor Sanders, seconded by Council Member Fleury, to approve the Voluntary Separation Agreement and General Release between the Town of Trophy Club and Thomas M. Class, Sr. effective May 13, 2019. Town CouncilPage 10 of 194Meeting Date: May 28, 2019 Council Member Jensen commented that he would be voting against the motion because if the Town wished to separate from the Town Manager, there was a clause within his Employment Agreement that he agreed to along with three sitting Council Members. He felt that the language in the agreement was clear and that it should be the direction that the Council should be taking. Mayor Sanders stated that the terms within the Voluntary Separation Agreement, on Exhibit A, required him to read the following statement: “Thomas M. Class, Sr. served the residents, Council, and staff as the Trophy Club Town Manager from January 30, 2017 to May 13, 2019, and worked diligently to manage Town operations and ensure that Trophy Club maintained its standing as a premier residential community and “a great place to call home.” At all times Mr. Class promoted a culture exemplified by institutional integrity, maximum transparency, effective communications, fiscal discipline, and personal accountability which resulted in the provision of exceptional customer service and the delivery of quantifiable results. During his tenure Mr. Class completed a reorganization of the Town’s command structure, implemented a merit-based evaluation system tied to a comprehensive strategic plan, coordinated all aspects of the Town Hall construction project, managed the implementation of the TC Alerts notification system, oversaw the issuance of a $4.5 million bond for designated capital improvement projects, and promoted fiscal discipline resulting in budget savings of $1,122,222.00 over a two-year period while reducing property tax rates. Under Mr. Class’ leadership and direction the Police Department received a first-ever “fully-accredited” rating by the Texas Police Chief’s Association, and achieved a # 1 ranking in the “SafeWise 50 Safest Cities in Texas” evaluation. The Fire Department procured grant funding for the Town-wide installation of AED devices, and achieved a Fire response “dollar valued to dollar saved” percentage of 86.69%; well above the 54.70% national average. Additionally, during Mr. Class’ tenure the Town achieved a # 1 ranking in the HomeSnacks “10 Best Places to Live in Fort Worth suburbs,” and a # 6 ranking in the “10 Best Places to Live in Texas” evaluations. Mr. Class served the Town of Trophy Club with great honor, integrity, and decency, and the Town Council appreciates his efforts and wishes him well in all future endeavors.” As required, Mayor Sanders read the following statement, Exhibit B – Statement of Findings: “After adequate investigation of the facts, the Council of the Town of Trophy Club has made the following determinations with respect to the Town Manager, Thomas Class: Mr. Class was specifically asked by one of the Council members to examine Town emails and records to determine whether Old Town Development (OTD) had sold property covered by the Economic Development Agreement among the Town, OTD, the Tax Increment Zone and the Economic Development Corporation (Development Agreement) and whether OTD complied with the notice requirements of that Development Agreement. The examination was conducted by Town staff and Mr. Class planned to present the results (Results) at the executive session of the Council on March 26, 2019, but circumstances at that meeting did not permit him to do so. Mr. Class presented the Results in an email to the Council members dated Thursday, March 28, 2019 at 9:52 a.m. (Results Email), which indicated that property included in the Development Agreement had been sold by OTD without notice to the Town as required by the Development Agreement, the consequences of such lack of notice, and an email from a Council member to OTD representatives on the Town email server indicating a probable conflict of interest involving a Council member. A rumor was later circulated that the date of the Council member’s email had been changed, but it had not been changed and the rumor was untrue. Town Council Special Session Minutes May 13, 2019 Page 2 of 4 Town CouncilPage 11 of 194Meeting Date: May 28, 2019 This will confirm that: (1) Mr. Class has not misrepresented, falsified, altered, distorted or lied in any document, report or statement, be it written or verbal, to the Town or its Council members at any time, (2) he has not falsified or misrepresented any information to the Town or its Council members in connection with the dates in the Results Email or in any other documents or statements made to the Council members in connection with the Results or Council member email described in it, (3) he has acted truthfully and appropriately in his dealings and communications with the Council and OTD representatives in connection with his investigations and communications to the Town and its Council members regarding the Results and the matters described in the Results Email, and (4) to the knowledge of the Town and its Council members, Mr. Class has consistently acted within the scope of his authority and has fulfilled his duties and responsibilities of the office of Town Manager, consistent with his Contract and Town policy.” Council Member Jensen asked that the amount of the separation payment be read into the record. Mayor Sanders read “Item No. 2, Separation Payment, On or before 5:00 p.m. on May 13, 2019, EMPLOYER shall pay and deliver to CLASS a settlement sum in the total amount of FOUR HUNDRED THOUSAND DOLLARS ($400,000.00) (“Settlement Payment”), comprised as follows: The Settlement Payment will be paid by EMPLOYER to CLASS, less only those employment taxes, Social Security, Medicare and deductions or other withholdings that EMPLOYER is required by law to withhold, in the form of a check made payable to CLASS, and the above withheld amounts will be paid directly by EMPLOYER to the appropriate parties. CLASS will be directly paid the above Base Pay and Vacation Time amounts, less applicable taxes and withholdings. The amounts paid pursuant to this Section 2 are paid to CLASS as a compromise and settlement of any and all claims of CLASS arising from the Contract. CLASS specifically agrees that he will not negotiate such check until after the seven (7) day revocation period in Section 8(b) below has expired and that he will not negotiate such check in the event that he has exercised his right to revoke this Agreement.” Council Member Fleury remarked that her vote would be based on all the facts, not just a select few, and it would be based upon firsthand information received from all parties involved, not on false assumptions and Facebook comments. Her vote would be based on what was best for the Town financially and legally, but also morally. It was important to consider all the variables and not just certain clauses that were moot at this point. Council Member Lamont commented that he normally would abstain from voting on a $400,000 expense since he was in the last days serving on Council so that he was not burdening the incoming Council with it; however, based on a conversation the Mayor had with the new incoming Council Members, he was concerned that they would not listen to the Town’s employment attorney and vote to fire the Town Manager. He stated that the employment attorney warned the Council that the firing of the Town Manager would be considered as retaliatory and would add a significant amount of penalties and punitive damages. It could result in a lawsuit of $3 to $4 million, plus legal fees that could escalate from $300,000 to $400,000. That burden to the taxpayers was too much to allow him to abstain. Additionally, he stated that Tom was a good person with a great reputation, he was sorry to see Tom go, and he felt that in the end Tom would be proven right. The vote was taken. Motion carried 4-1-0, with Mayor Sanders, Mayor Pro Tem Shoffner, and Council Members Fleury and Lamont voting in favor, and with Council Member Jensen voting against. Mayor Sanders stated that the process of working on a separation agreement with Mr. Class had been a long and difficult process for all involved. There may be some individual’s question the terms of the agreement without understanding the legal aspects of Mr. Class’ Employment Agreement. He stated there were several years of employee reviews where Mr. Class had the total support of the Council, along with salary increases and quarterly reviews. In addition, the fact that Mr. Class filed a whistle blower and hostile work place letter with the Council, the process and the ability to negotiate was overshadowed with the laws that protect the rights of the employee. Even after, there was an examination of Mr. Class’ Employment Agreement, as related to termination with cause and the majority of Council did not find cause to proceed down that path. During this process, it became apparent that comments made on social media, with only part of the facts, were at times derogatory and damaging to Mr. Town Council Special Session Minutes May 13, 2019 Page 3 of 4 Town CouncilPage 12 of 194Meeting Date: May 28, 2019 Class. At times these comments were damaging to how the Council worked and caused further division among the Council. These previously made negative comments caused it more difficult in the negotiations. He requested that citizens use the next few weeks to reflect on these actions and to try to keep social media comments on a positive note. It was time to move forward in a positive way so that the Town could attract a new Town Manager and go through a process of healing and reconciliation with the sole purpose of keeping Trophy Club a great place to call home. ADJOURN Mayor Sanders adjourned the meeting at 9:39 a.m. ___________________________________ ___________________________________ Holly Fimbres, Town Secretary C. Mr. Kurtz resigned due to his work commitments no longer allowing him to commit the necessary time to the position, which has caused him to miss a number of meetings. Mr. Kurtz appreciated his time on Council and felt that the Town deserved someone who could put the time and effort into serving. The Invocation was offered by Senior Minister Jeff Brooks with Lake Cities Church of Christ. The Pledges to the American Flag and Texas Flag were led by Council Member Fleury. CITIZEN PRESENTATIONS This is an opportunity for citizens to address the Council on any matter whether or not it is posted on the agenda. The Council is not permitted to take action on or discuss any presentations made to the Council at this time concerning an item not listed on the agenda. The Council will hear presentations on specific agenda items prior to the Council addressing those items. You may speak up to four (4) minutes or the time limit determined by the Mayor or presiding officer. To speak during this item you must complete the Speaker's form that includes the topic(s) of your statement. Topics of presentation should be limited to matters over which the Council has authority. Kelly Castonguay and Mindi Bone, representing the Stars and Stripes Committee, provided an update regarding the Memorial Day Ceremony scheduled for Monday, May 27, 2019, at 10:00 a.m., at Medlin Cemetery. Parking would be available at the top portion of the Trophy Club Country Club parking lot and golf cart transportation would be provided to and from Medlin Cemetery. The planting of flags would begin at 6:00 p.m. on May 25, 2019. Additionally, they acknowledged the Metroport Veterans Association for their involvement and assistance. John Lynch, 525 Indian Creek Drive, stated that he has been a Town resident for over 20 years. The Council had a difficult job and he wanted to take the time to thank each of them. There have been some recent misfortunes and he hoped that everyone could proceed positively in the future. He recommended that each Council Member be elected by districts, as opposed to being elected at-large-by-place. Town CouncilPage 15 of 194Meeting Date: May 28, 2019 Megan Keohen, 68 Panorama Circle, imposed the question why the Town did not have a homestead exemption on Town taxes when surrounding cities offered such exemption. Also, she felt that the Town’s Summer Adventure Camp registration should be opened to Town residents first at cost and then any remaining slots be opened to non-residents at a higher rate. She also believed that the required waiver form for camp registrants was severe and had a lot of unsettling language. Lastly, she asked that the Council continue to focus on what was best for the residents. 1. Consider and take appropriate action regarding a Resolution recognizing former Council Member Rhylan Rowe for his service to the Town of Trophy Club and remarks to and from former Council Member Rowe (Mayor Sanders). Mayor Pro Tem Shoffner read the resolution into the record. Motion: Motion made by Mayor Pro Tem Shoffner, seconded by Council Member Jensen, to approve Resolution No. 2019- 08, recognizing former Council Member Rhylan Rowe for his service to the Town of Trophy Club. Motion carried unanimously 5-0-0. Mayor Sanders reminisced about the fun times the Council enjoyed while Rhylan served on Council. On several occasions, Rhylan incorporated City of Hamilton stories during Council meeting, which was where he grew up. The Mayor remembered multiple times when Rhylan would be writing computer software code and never miss a beat in Council discussions. Rhylan had the ability to keep Council focused on the key issues at hand. He thanked Rhylan for his time and service that he offered to the Town. Council Member Lamont stated that Rhylan was the smartest person on Council and his brilliance was beyond comprehension. He truly hoped that Rhylan would run for Town Council again because Trophy Club was a better place when he was on Council. Mayor Pro Tem Shoffner read a quote by Oscar Wilde, “I am so clever that sometimes I don’t understand a single word of what I am saying.” He stated that for the five years that he has been Council, he understood about half of what Rhylan spoke about because he was so bright. He provided the following example of Rhylan’s brilliance, when Place 6 was created in May 2013, with the passage of Proposition No. 18, it called for an election to be held in November 2013 for an initial term of office expiring in the May 2016 election; thereafter Place 6 shall have three year terms. Therefore in essence, the first portion of his term was partial and would not count against him regarding term limits. During the May 2019 election cycle, someone asked his opponent, Michael Pipkins, why he had switched positions from Place 5 to Place 6. Mr. Pipkins had responded that he made the decision to run against Shoffner instead, because Philip has had the opportunity to serve with just shy of two full terms. It was nothing against Philip, he was a fine man, but he felt it was time for Philip to move on to serve the community in some other way. Mayor Pro Tem Shoffner had debated how to counter his opponents comment and he decided that he would list some accomplishments during his time on Council. He reached out to Rhylan to assist in the list and within five minutes Rhylan sent a large list back to him. Throughout Rhylan’s time on Council, he stood firm for resident and property owner rights. Rhylan was intricately involved in every decision the Council made and all their accomplishments. He agreed that the Council was much better when Rhylan was on Council. Over the last 34 years, the Council that Rhylan had served on was the second longest Council that served together, and the heart and soul was Rhylan. He appreciated Rhylan’s service that ultimately benefitted the Town in a large way. Council Member Jensen echoed with all the comments made about Rhylan being the smartest man on Council and he also considered Rhylan a great friend. There was a great amount of time and effort that went into serving on the Council and he thanked Rhylan for all his hard work. Council Member Fleury loved Rhylan’s spirit and heart and stated that he was truly a nice guy trying to do the right thing. She appreciated everything that she learned from Rhylan and hoped that he would serve on Council again because Council was better with him on it. Town Council Minutes May 14, 2019 Page 2 of 10 Town CouncilPage 16 of 194Meeting Date: May 28, 2019 Mayor Sanders presented Rhylan with the resolution, a plaque, and his nameplate from the dais. Rhylan Rowe thanked everyone for their kind comments. There was a lot of hard work and responsibility that was required to serve on Council. He gave a big thank you to his wife and children for their support during his four and a half years on Council. Serving on Council required a lot of time away from his family and they helped with logistics so that he could make each Council meeting. He and his wife had the perfect balance and worked well together because he was a make right type of person and his wife was a make peace type of person. He hoped that the Town would find the same type of balance. He appreciated getting to know so many great residents who volunteered to serve on boards and commissions over the course of his time on Council. Additionally, he thanked the Council for their acknowledgment. 2. Consider and take appropriate action regarding a Resolution recognizing Council Member Greg Lamont for his service to the Town of Trophy Club and remarks to and from Council Member Lamont (Mayor Sanders). Mayor Sanders read the resolution into the record. Motion: Motion made by Mayor Sanders, seconded by Mayor Pro Tem Shoffner, to approve Resolution No. 2019-09, recognizing Council Member Greg Lamont for his service to the Town of Trophy Club. Motion carried 4-1-0, with Mayor Sanders, Mayor Pro Tem Shoffner, and Council Members Fleury and Jensen voting for, and Council Member Lamont abstained. (Town Secretary Note: Per the Town’s Meetings and Rules of Procedure, an abstention from voting where no conflict of interest under state law and/or town ordinance exists, that person’s vote shall be recorded as a negative vote) Mayor Sanders stated that he and Greg served together on Council twice. Greg always came prepared to each meeting and studied the material within the agenda packet, which could be challenging to complete over the weekend. He thanked Greg for his involvement in the community by attending a multitude of events and taking pictures at each one. Additionally, he thanked Greg for his time and services that he provided. Mayor Pro Tem Shoffner remarked that Greg was elected in May 2013, during the initial PD 30 discussions, and he ran in November 2013, which at that time was a hostile environment. They both were the minority on Council and ran into opposition with other Council Members. He thanked Greg for his support especially during their first six months serving together. Council Member Fleury commented that being part of Council, it was important for them to be active in the community and Greg was a great example of that. She thanked Greg for representing the Town at different events, for sacrificing his time, and for all his service. She felt that Greg always had the best interest of the Town and residents at heart and she wished him well with his future endeavors. Mayor Sanders presented Council Member Lamont with the resolution, a plaque, and his nameplate from the dais. Council Member Lamont thanked the residents, his friends, and neighbors who voted for him and supported him over the years. He stated that he always tried to treat everyone on Staff, both previous and current employees, as equals with the respect they deserved. He stated that the Council accomplished a great deal in his first four years on Council. They respectfully disagreed with each other, laughed, and at times accepted being on a lonely island. They worked together on all of the issues and most importantly respected one another both at and away from the dais. He held to his belief in his Oath of Office and the Constitution that he swore to uphold. He was proud of the following accomplishments that Council achieved during his time: Purchased the land for and built the Town Hall and Police Facility under budget at a significant savings from the original proposal; Refinanced the PID agreement saving $16.4 million, saving on average each PID homeowner over $12,000 and the Town overall an additional $500,000; Town Council Minutes May 14, 2019 Page 3 of 10 Town CouncilPage 17 of 194Meeting Date: May 28, 2019 Signed a 99 year water and waste water agreement that guaranteed that the PID residents pay the same rate as the MUD residents; Installed school safety crosswalk flashers; Passed the No Knock, No solicitation ordinance; Brought in Meat U Anywhere and Bread Winners restaurants; Built the Dino Park for toddlers; Upgraded the Veterans Memorial Park; Added a parking lot between Beck Elementary and Medlin Middle Schools using hotel occupancy tax funds; Added an additional parking lot for Harmony Park; Remodeled and regraded the soccer fields next to Lakeview Elementary School; Created and implemented a Capital Replacement Fund; Funded road improvements without raising the Town’s bond tax rate; Rewrote the sign ordinance to eliminate the unsightly proliferation of signs in Town and along 114; Created an Animal Shelter Advisory Board; Reduced the Town retirement fund contribution from 17.5% to 14% for a savings of approximately $144,000 per year; Upgraded equipment for the Police Department to have the best law enforcement tools available to protect the Town; Upgraded safety equipment for firefighters and authorized a fifth firefighter/EMS to each shift; Added in conjunction with NISD, a second school resource officer and vehicle; Created a new Police position with the hiring of Indy, the K-9 Officer; Revised the No Overnight Parking ordinance; Built an ADA compliant playground for young children at Harmony Park; Installed security cameras for the Dog and Toddler parking lot; Purchased a new ambulance; Replaced the large playground at Harmony Park that was ADA compliant; and Updated one of the baseball fields and its amenities. He was proud that the Council was able to reduce the tax rate each of the six years he was on Council and that he was part of the initial Council Budget Subcommittee that reduced the tax rate in 2017 by a near record 2.57 cents. He was a strong supporter of law enforcement and security measures to keep the Town safe. He was honored to represent the Town at various Town and regional events and proud that he never missed a Council meeting in six years. Additionally, he thanked his wife, Janet, for fully supporting him and for being a dedicated partner in volunteering where and whenever. The burden of pain from negative social media fell upon the involved families instead of the candidates or elected officials because they were typically too busy to worry about the criticism. His wife became a target but he commended her for having more style, grace, and class then the others. Janet was the best person someone could ever ask to be married to and he would always love her. Lastly, he remarked that he would still be active and looked forward to the next campaign. 3. Consider and take appropriate action regarding an Ordinance canvassing the returns and declaring the results of the Town’s General Election held on May 4, 2019 for the purpose of electing one (1) Council Member to Place 5 and one (1) Council Member to Place 6 on the Trophy Club Town Council, each for a term of three (3) years; and providing an effective date (Mayor Sanders). His commended his wife for always staying neutral and for staying away from making public comments. It has even become tough for his children who experience negativity at school because of politics, when his children are innocent and have nothing to do with politics. He thanked his family for their support and enduring the difficult times, they were jewels that he truly appreciated. Additionally, he expressed his appreciation again to those who encouraged him and to Rhylan for his support. Phillips). Strategic Link: Infrastructure & Development – Foster a business-friendly environment. Background and Explanation: Lot 18A is approximately a 1 acre lot at the intersection of Sheldon Drive and Abbot Lane that abuts Trophy Club Park to the north and east. It lies at an outer corner of the Canterbury Hills subdivision and was dedicated to the Town as Parkland Dedicationby deed in 2018. Staff, Parks and Recreation Board, and Town Council are currently working on a park plan for this property. The purpose of this amended plat is to increase the size of the utility easement at the rear of the property from five feet (5’) to ten feet (10’) in width. This is due to Oncor running an undergroundpowerline across the rear of the property, but not staying within the five foot (5’) utility easementbecause Oncor believedthere was a ten foot (10’) utility easement in place. In order to not cause a long haltin work on the property, a document has beenrecordedat Denton County to establish a ten foot (10’) wide utility easement by separate instrument. Making the same change on the plat is not required, but it is good practice to update plats as changes come about so they are as complete as possible. No other revisions are proposed to the amended plat and it meets the requirements ofthe Town’s Subdivision Regulations andthePD-31Development Standards. Phillips). Strategic Link: Infrastructure & Development – Foster a business-friendly environment. Background and Explanation: Last year, Council considered an amended plat on Meadowbrook Lane that relocated the common lot line and associated easement between Lots 1364R and 1365R of Section 11 five feet (5’) to the east in order to increase the width of Lot 1365R. That property owner has now acquired Lot 1366 and would like to relocate the common lot line between Lots 1365R and 1366 ten feet (10’) to the west to increase the width of Lot 1365R again. Lot 1365R remains vacant, but the applicant intends to build his house there and would like as much room as possible. The overall plat for Trophy Club Section 11(Exhibit B) notes that there is a ten foot (10’) wide utility and/or drainage easement centered about all side lot lines. Thus, the request also includesabandoning a ten foot (10’) wide drainage & utility easement(five feet on each side of the old lot line) andestablishing a ten foot (10’) drainage and utility easementcenteredon the new lot line (five feet on either side). The applicant has obtained signatures from utility entities via the Easement Abandonment Form that isattached (Exhibit C). This form requires these entities to verify if abandonment of the easement is acceptable in this specific location and provide direction if there’s a conflict. Page 1 of 2 Town CouncilPage 154 of 194Meeting Date: May 28, 2019 If the request to relocate the common lot line ten feet (10’) to the west is approved, the newly located easement and the ten foot (10’) side yard setback will not impact the existing house on Lot 1366, as it sits approximately twenty-two feet (22’) away from the current lot line. The requested width of each lot complies with the eighty foot (80’) minimum requirement in the R- 10 Zoning Regulations and this proposed amended plat conforms to the Town’s Subdivision Regulations. Financial Considerations: Not applicable. Legal Review: The Town Attorney has reviewed this item and concurs with the Staff recommendation. Planning andZoning Commission Recommendation: The Planning andZoning Commission heard this case on Thursday, May 2, 2019 and unanimously recommended approval of the amended plat. Phillips). Strategic Link: Administrative & Financial Services - Exercise fiscal discipline in all Town operations. Background and Explanation: The residential homestead exemption will reduce the taxable value of a homestead by the greater of either the 1% percent exemption or $5,000.00. Section 11.13(n) of the Texas Property Tax Code provides that the Town Council may adopt an exemption from taxation of a portion of the appraised value of the residence homestead.Currently over 3,500 household are eligible to receive this exemption. Financial Considerations: A residential homestead exemption will decrease future property tax revenue by approximately $90,000 each year. The growth in existing home values is high enough that the financial impact will not adversely affect the Town’s long term financial health. Legal Review: Not applicable. Board/Commission/ or Committee Recommendation: The Council Finance Subcommittee met on May 16, 2019 and recommended the adoption of a 1% residential homestead.
