The Town Council of the Town of Trophy Club, Texas, met in a Regular
Session on Monday, August 27, 2012. The meeting was held within the
boundaries of the Town and was open to the public.

CALL TO ORDER AND ANNOUNCE A QUORUM
Chair Stotts called the meeting to order and announced a quorum at 7:05 p.m.

REGULAR SESSION
1. 2012-391-T Discuss and take appropriate action regarding the July 23, 2012 Minutes.
Motion made by Commissioner Mundy, seconded by Commissioner Quile to
approve the July 23, 2012 Minutes as presented. Motion carried unanimously.

2. 2012-392-T Discuss and take appropriate action regarding the review of the following Articles of
the Charter:

Chair Stotts continued the review of the Charter, beginning with Section 3.12
Quorum.
Section 3.12 Quorum - None
Section 3.13 Interference In Town Manager Appointments and Removals or
Duties - None
Section 3.14 Action Requiring an Ordinance - None
Section 3.15 Form of Ordinances - None
Section 3.16 Procedure for Enacting Ordinances and Resolutions;
Publications
• Discussion of removing Section B In its entirety because of redundancy
Section 3.17 Emergency Ordinances
• Town Attorney will review
Section 3.18 Bonds for Employees - None
Section 3.19 Investigative Powers of the Council
• Town Attorney recommended if the Commission wishes to remove the
redundancy with sections 3.19 and 3.08(e); 3.19 should be removed
• Commissioner Quite requested that if this section stays, a caveat should
be in place requiring resolution
• Consider to utilize same language as in Section 3.08(s)
Commission requested the Town Attorney to bring two write-ups; one with a
write-up to strike in its entirety and one to add a caveat requiring a Resolution.
Town Attorney to proposed language at a future meeting to allow the
Commission to decide.
Section 3.20 Conflict of Interest and Abstention - None
Section 3.21 Indemnification of Officers
• Town Attorney to re -write and bring back to Commission for review and
decision
Section 3.22 Term Limits
• Remove the last two sentences — obsolete
• Clean up
Chair Stotts briefly recapped Article 111:
Section 3.01 NUMBER, SELECTION, TERM — consider the addition of one
council member; no provision of wards or districts — leave as at -large places
Section 3.02 QUALIFICATIONS — consider changing Al to 18 years of age or
striking to match state law and strike 3.02E in entirety

changes

its entirety or add wording stating that this must be done by Resolution, using
Section 3.08's wording

Section 3.21 INDEMNIFICATION OF OFFICERS — consider revision of this
section to summarize
Section 3.22 TERM LIMITS — consider revision to remove implementation
wording
3. 2012-393-T Commissioner comments regarding future Charter review and related matters;
discussion of same.
Commissioner Ford asked about meeting procedure and when the commission
will begin reviewing the proposed revisions and begin voting on items. Chair
Stotts stated that once the Commission finishes its preliminary review of
Article IV, the Commission will begin reviewing proposed revisions.

Motion made by Commissioner Quils, seconded by Commissioner Mayberry, to
adjourn. Meeting adjourned at 9:03 p.m.
