CONSENT AGENDA

3. Consider and take appropriate action regarding the Minutes dated April 26, 2016 (Staff). (Town Secretary
Note: Approved as presented in the Town Council agenda packet)
4. Consider and take appropriate action regarding an Ordinance of the Town of Trophy Club, Texas, approving
a negotiated settlement between the Atoms Cities Steering Committee (“ACSC”) and Atmos Energy Corp.,
Mid-Tex Division regarding the Company’s 2016 Rate Review Mechanism filings; declaring existing rates to
be unreasonable; adopting tariffs that reflect rate adjustments consistent with the negotiated settlement;
finding the rates to be set by the settlement tariffs to be just and reasonable and in the public interest;
requiring the company’s ACSC’s reasonable ratemaking expenses; determining that this ordinance was
passed in accordance with the requirements of the Texas open meetings act; adopting a savings clause
declaring an effective date; and requiring delivery of the ordinance to the company and the ACSC’s legal
counsel; and providing an effective date (Staff).
Mark Mahan, with Atmos Energy Corporation, was present to address any questions regarding Consent Agenda
Item No. 4.

REGULAR SESSION
5. Consider and take appropriate action regarding a Proclamation of the Town Council declaring Tuesday, May
31, 2016 as Lieutenant Colonel Norman "Jaws" Vuchetich Day in Trophy Club; and providing an effective
date (N. Sanders).
Council Member Parrow read the proclamation into the record.

2016-09, declaring Tuesday, May 31, 2016 as Lieutenant Colonel Norman "Jaws" Vuchetich Day in Trophy Club; and
providing an effective date of May 23, 2016.

Mayor Sanders thanked Lieutenant Colonel Norman "Jaws" Vuchetich for his service and presented him with a
proclamation. Lieutenant Colonel Vuchetich was accompanied by his wife, Starr, and his daughters, Pandora and
Ariel.
6. Receive an update from Stars and Stripes regarding the upcoming 4th of July Parade; discussion of same (K.
Castonguay).
Kelly Castonguay, representing Trophy Club Stars and Stripes, provided an update regarding the 4th of July
Parade. She announced that Denton County Commissioner Andy Eads, Denton County State Representative Tan
Parker, and Tarrant County State Representative Giovanni Capriglione will be attending the event, along with
Grand Marshal US Army Lieutenant Colonel Kacey Brashear. She added that the marching band will be the
Metroplex United Pipe Band and stated that they have secured 13 float participants and a trailer for the veterans.
Tiffany Nimphius, representing Trophy Club Stars and Stripes, advised that approximately 98 percent of the route,
for the planting of the flags, have been covered. She announced that they are scheduled to have a hotdog social
on June 24, 2016, from 6 to 8 p.m., at Harmony Park to deliver the flags and that planting of the flags will be held
on July 2, 2016.
Mindi Bone and Nicole Arata, representing Trophy Club Stars and Stripes, were present to address any questions.

7. Receive the Mayor's State of the Town Address; discussion of same (Staff).
Mayor Sanders provided the Mayor’s State of the Town Address.

8. Discussion of and provide direction to Staff regarding the disconnection and separation of the Highlands
common area irrigation system from the Town’s irrigation system (Staff).
Assistant Town Manager/CFO Glickman provided an update and stated that Staff has been working with the
Highland’s Homeowners Association (HOA) Board to examine disconnection and separation of the Highland’s
irrigation system from the Town’s irrigation system. During this process, Staff identified all the areas within the
Highlands that would be affected by this process. He went over the timeline pertaining to irrigation issues, and
discussed areas that would not be turned over to the HOA because it would be cost prohibited for the HOA to have
to install meters in those areas. Additionally, he advised that Staff was seeking direction from Council to either
have the Town continue to water and maintain the irrigation, completely disconnect the HOA’s irrigation from the
Town’s, or disconnect and have the Town continue to maintain the five grass strips.
Discussion took place that the HOA President was notified that Council was considering this item tonight.
Council Member Shoffner stated that the HOA is composed of 12 different plats, which have 12 different
developers’ agreements. He advised that the agreements call out that the developer/HOA would be responsible
for maintenance on all common areas.
Mayor Sanders commented that his recollection was that the developer desired to maintain the common areas,
through an arrangement with the builder, in order to ensure that they were maintained to help sell homes.

Council Member Shoffner inquired about the cost for the Town to disconnect from the HOA. Assistant Town
Manager/CFO Glickman stated that it would be a matter of Staff time, materials, and equipment to allow the Town
to disconnect and cap off the system in approximately two weeks.
Town Manager Seidel advised that the irrigation system switched to a fresh water system because the ponds along
the linear trail were never engineered; therefore, when the ponds connected to the irrigation system it clogged the
heads. He commented that Staff has been trying to work with the HOA to come up with a solution for an extended
period of time.
Mayor Sanders and Council Member Rowe recommended proceeding with Staff’s proposal to disconnect and to
continue to water the identified areas.
Mayor Pro Tem Lamont and Council Member Parrow were in favor of disconnecting completely since water had
been provided to the HOA at no cost since last August, which is essentially an expense to the taxpayers.
Council Members Shoffner and Reed were in favor of complete separation since the Town does not extend this
type of service to any other HOA.
Discussion took place regarding the timeframe it would take for the HOA to be on their own irrigation system.
Mayor Sanders received consensus from the Council to disconnect completely by the end of June 2016.
9. Consider and take appropriate action regarding the purchase and installation of a toddler playground and
shade structure for Harmony Park; discussion of same (Staff).
Parks and Recreation Director Adams advised that the Parks and Recreation Board provided unanimous input to
move forward with the selected playground design from Playwell at their May 16, 2016 meeting. Prior to the
Council meeting, Board Member Nimphius and Chairman Bilbrey worked on seeking user input concerning the
playground specifics, which helped with the selection of the design components. At the April 26, 2016 Council
meeting, Council approved that an additional eight thousand ($8,000) be allocated to the project. Residents and
Parks and Recreation Board Members requested the additional funds go towards the purchase of a few interactive
playground elements to be installed in addition to the main structure, such as a safety swing.
Emily Bandurski, 2244 Veranda Avenue, stated that their goal was to provide a different perspective in terms of
features the Town could add to make the new toddler play area more accessible and friendly for special needs
children in Trophy Club, while doing so within the previously approved budget, footprint and previously planned
play structure. She added that these features can be used and loved by all kids with typical and atypical abilities.
Michelle Lunday,2810 Castlereach Street, presented their recommendations, which included: replacing two of the
current six swings in the toddler play area with accessible swings that provide more support; removing the near
vertical rock-like wall with no hand rail and replacing it with steps that have a handrail; replacing one of the two
planned springer animals for the toddler play area with an airplane accessible springer that will provide more back
support; and adding a music-based, low to ground, sensory wall or four a la carte panels.
Tiffany Nimphius, 214 Fresh Meadow Drive, stated that they are reviewing fundraising opportunities to help include
special needs playground equipment for future parks.
There was conversation that the budget is approximately $80,362, which included the additional allocated $8,000,
along with interest savings from the 2010 General Obligation Bonds.
Council Member Rowe recommended adding their proposed steps with handrails and keep the rock-like wall in
order to substitute it for the green footprint ladder to help make the entire design more accessible.

Council Member Shoffner complimented the residents for their presentation and inquired what funds were
available for their recommendations.
Mrs. Nimphius stated that they are not necessarily adding to the budget but replacing some items with their
recommendations, and Mrs. Lunday advised that their delta did not include shipping.

Motion made by Mayor Pro Tem Lamont, seconded by Council Member Parrow, not to exceed the amount of
$80,362 for the purchase and installation of a toddler playground and shade structure for Harmony Park.

10. Consider and take appropriate action regarding the Capital Improvements Project program (Staff).
Assistant Town Manager/CFO Glickman presented the Fiscal Year 2017 Capital Improvement Plan, which included
the following: Debt Model Snapshot; Comprehensive Review’s; Funding Options Examined; Proposed Bond
Funding; Anticipated Completed Projects; Projects in Progress; Projects that would begin in Fiscal Years 2017,
2018, 2019; 2020, and 2021; and Decision Points.
Discussion took place regarding the budgeted amount for the Veterans Memorial and the possibility for the Trophy
Club Women’s Club to contribute funds to go towards the five obelisks.
Council Member Shoffner inquired about doing seam-to-seam repairs for Creekmere Drive verses a full
reconstruction.
Development Services Manager Cooke stated that C graded street repairs are typically done through panel
replacements and he pointed out that often times it is better to reconstruct the entire street to coincide with
needed drainage repairs.
Discussion took place that the delay of the Independence Park West scoreboards was due to the Baseball
Association providing a proposed list of possible capital projects that the Town could partner with them.
Council Member Rowe commented that the scope of Trophy Club Drive reconstruction, from Durango Drive to
Bobcat Boulevard, could possibly be reduced since a portion was poured in the early 2000’s.
Mayor Sanders commented that he would like to see a plan for the parking at Trophy Wood Drive before Council
considered the location and how much parking was needed. Additionally, he was in favor of moving up the
Freedom Park automatic gate system.
Council Member Shoffner was in favor of putting additional funds towards higher traffic streets and extending the
life out of the lower traffic streets.
No action was taken on this item.
11. Items for Future Agendas to include discussion of Agenda Items for consideration on the upcoming Regular
Session Council Agenda for June 14, 2016 meeting; and discussion of the Town Council Future Agenda Items
list, to include discussion of the below item from the Future Agenda Items list:
This item allows Council to request the placement of items on upcoming agendas when the topic of discussion
requires research and review that cannot be accomplished in the time frame between regular Council meetings.
However, a Council Member may request that an item be placed on the next regularly scheduled meeting without
first placing that item on the Future Agenda Items list. All requests for agenda items must comply with Charter
requirements.

Mayor Sanders requested to remove Item No. 9, Consider and take appropriate action regarding an Agreement
between the Town and Highlands HOA for irrigation maintenance on medians, from the June 14, 2016 Council
agenda since direction was provided to staff how to proceed. Additionally, he requested to take off Item No. 12,
Receive an update from Staff regarding exploring regulations and guidelines to allow for golf cart use and parking
in Town parks, from the regular agenda since a meeting with the Sports Subcommittee was scheduled to occur.
After being asked about the duties of the Building Standards Commission, Development Services Manager Cooke
stated that the Commission gives an individual the ability to make an appeal before them regarding the Building
Official’s decision.

Council Member Shoffner advised that assets would include anything Fire related that the Town would absorb if
there was outstanding debt, such as the fire truck and fire equipment. In his opinion, the Town needed to explore
the financial impact to take over the responsibility of the Fire Department since the Town has tried to resolve the
issue with the Trophy Club Municipal Utility District No. 1 regarding Fire personnel.
Council Member Rowe desired one reporting structure for the Fire Department and stated that the chain of
command is highly important for public safety.
Mayor Pro Tem Lamont stated that the Town should take on the debt as currently on the books and that the
residents of the Town should not have to pay fair market value for assets they already own.
Council Member Reed commented that he believed that it would be in the best interest of the residents to have
the Fire and EMS personnel reporting to one entity.
Council Member Parrow commented that the Council is trying to come up with the best solution and provide the
residents with the best public safety service.
Mayor Sanders believed that Fire and EMS needed to report to one entity and he advised that the Council was
requesting financial data in order to give direction to move forward.
Discussion took place that the Special Council meeting would be held on June 7, 2016.
The vote was taken.

Agenda Item 12 (C) Motion:
Motion made by Council Member Rowe, seconded by Council Member Reed, to direct the Town Manager to
development a parking plan for the Trophy Wood district contingent upon the signing of an agreement between
Old Town Development and the restaurant developer.
Council Member Reed stated that he would like for the area in front of the Town Hall to have some green space
along with some parking.

quorum at 6:00 p.m.

The Council is not permitted to take action on or discuss any presentations made to the Council at this time
concerning an item not listed on the agenda. The Council will hear presentations on specific agenda items prior to

Mayor or presiding officer. To speak during this item you must complete the Speaker's form that includes the

SPECIAL SESSION
1. Consider and take appropriate action regarding the appointment of the Town Attorney position; discussion
of same (N. Sanders and P. Shoffner).

Town Attorney for the Town of Trophy Club.

2. Consider and take appropriate action regarding Town owned property and irrigation services located within
the Highlands; discussion of same (P. Shoffner and J. Parrow).
Mayor Sanders provided a brief history regarding the irrigation within the Highlands Homeowners Association
(HOA). He presented the two major points, which were: 1) The HOA is maintaining land that the Town owns and
was provided in part of, if not all, in a parkland dedication and the land cannot be sold or given to any other
organization without the vote of the citizens of the Town; and 2) The Town is maintaining land that is owned by
the HOA. He explained that it was discovered that some of the areas known as slip roads, medians that are offset
to the left or right that have a road in front of houses, are designated as HOA areas and in other areas they are part
of the Town’s right-of-way.
Frank Koen, President of the Highlands at Trophy Club HOA, apologized for missing the Council meeting on May 23,
2016.
Erv Siemoneit, Vice President of the Highlands HOA, and Joel Morace, Member at Large of the Highlands HOA,
were present to address any questions.
Assistant Town Manager/CFO Glickman provided a presentation regarding the Highlands Maintenance, which
included the following: Recap of Events to Date; Updated Information; and Potential Solutions.
Discussion ensued that the developer agreements identified that the developer shall create an HOA and they shall
be responsible to maintain all common space, therefore the HOA should maintain the common space after the
twelve months from the initial improvement. Additional discussion took place that the slip roads that are owed by
the developer could be dedicated to the Town through a separate instrument.
Malcolm Louden, Manager of Essex Community Management, 200 Bailey Avenue, Fort Worth, advised that the
common area parcels that are owned by the developer are currently in the process of being deeded over to the
HOA.
Mr. Koen stated that he had performed research through Denton Central Appraisal District (DCAD) and provided a
handout that included the water meter account number, DCAD account number, general address, owner, type of
maintenance, and an aerial of each area. He pointed out that the areas shown in red on the aerials referenced the
areas that the HOA currently maintains and that the small red circle identifies the water meter location. He
suggested leaving things as is until September 30, 2016 and form a committee that consists of two Council
Members, Essex Community Management, himself, and two staff members to meet on a regular basis in order to
create a well-defined solution.
Mayor Sanders pointed out that the HOA potentially faced having large capital expenses and that a possible
solution was to determine the cost for the HOA to reimburse the Town for their services since it would take time
to agree upon a final solution. He commented that if the Town were to take over the areas, the Town may not
water and mow as frequently as the HOA preferred.
Council Member Shoffner advised that the plats labeled the four cul-de-sacs and identified that the HOA will
maintain the right-of-way along those areas, as well as the right-of-way of the open lot on Rose Bay.
Discussion took place that the Town’s standard procedure to mow and maintain is done 12 to 18 times a year in a
10 foot swath on the other side of the trail, that is opposite of the homes; for a passive area that is not irrigated
then the Town maintains 10 feet on the inside of the trail and next to homes adjacent to the trail; and the HOA is
mowing and maintaining the irrigated areas.
Mr. Louden advised that the HOA currently mows the space inside the red area shown on the aerials and that they
are on a 36 week maintenance schedule.

Mr. Koen stated that the HOA has paid an upward of $50,000 for water bills and maintenance of the areas over the
last 15 months. He advised that the HOA was turned over to the residents effective January 23, 2016 at a Board of
Directors meeting and prior to that, Essex Community Management owned and maintained the areas.
It was pointed out that the $50,000 did include funds that were paid by Essex Community Management during
their ownership, and that the estimate that the Town paid during that timeframe was approximately $15,000 per
year for water and irrigation costs for property owned by the HOA.
Council Member Shoffner wanted to clear the issue of the notation that the HOA had to use water trucks for an
extended period of time during the transition when the pumps went down for the retention ponds and then going
to a fresh water system. Parks and Recreation Director Adams stated that the transition time was about three
weeks. Mr. Louden believed that the main reason for the water trucks was because they had planted 50 to 75 new
trees.
Main Motion:
Main Motion made by Council Member Rowe, seconded by Council Member Reed, to direct Staff to work with the
appropriate party to transfer the five slip roads platted as separate parcels to Town ownership, designating rights-
of-way where necessary; to transfer the narrow grass strips currently owned by the Highlands HOA adjacent to
stone walls to Town ownership; to transfer the one strip of land running narrowly between Macquarie Street and
Redfern Drive to Town ownership; to direct Staff to take over perpetual maintenance of Town owned open space
currently maintained by the Highlands HOA accepting any areas noted otherwise in previously approved developer
agreements; and to extend the deadline for separating the Town irrigation system from irrigation on the Highlands
HOA owned land to September 30, 2016.
Council Member Rowe clarified that the motion includes the small areas of land that are already tied into the
Town’s irrigation system, the slip road medians, any land that is Town owned, and land that the HOA is currently
maintaining would be transferred to the Town unless there was a written agreement in place.
Discussion took place about the water meters being turned over to the Town.
Motion to Amend:
Motion to Amend made by Council Member Shoffner, seconded by Mayor Sanders, to include turning over the
meters from Highlands HOA property to Town property within 30 days.
Motion to Amend passed unanimously.
Mayor Sanders advised that there should be a deadline for the Town to take over HOA maintained areas.
Modified Main Motion:
Council Members Rowe and Reed agreed to modify the Main Motion to include a deadline of September 30, 2016.
Mayor Sanders inquired if the representatives understood and agreed to the action that Council was making, and
Mr. Louden stated that they were in agreeance.
The vote for the Main Motion as Amended was taken, to direct Staff to work with the appropriate party to
transfer the five slip roads platted as separate parcels to Town ownership, designating rights-of-way where
necessary; to transfer the narrow grass strips currently owned by the Highlands HOA adjacent to stone walls to
Town ownership; to transfer the one strip of land running narrowly between Macquarie Street and Redfern Drive
to Town ownership; to direct Staff to take over perpetual maintenance of Town owned open space currently
maintained by the Highlands HOA, accepting any areas noted otherwise in previously approved developer

3. Consider and take appropriate action regarding options for ownership, management and operations of
Trophy Club EMS, including fire protection services; discussion of same (Council).
Mayor Sanders stated that the Council directed Staff to review the cost of taking over the Fire Department. He
discussed possible Bond payments from Fiscal Year 2017 to 2031 for the Fire Station and the capital lease of the
new fire ladder truck.
Assistant Town Manager/CFO Glickman explained that the maximum recommended offer for the Fire Station of
$2,908,747 comes from the total Bond payment if called, which includes the principal and interest payments until
2021 and a full payment of the principal amount and the reimbursement reserve.
Mayor Sanders pointed out that there is approximately a 7 cent fire tax rate per $100 valuation from the Trophy
Club Municipal Utility District (TCMUD) No. 1 and in order for the Town to take over the new debt, there is a
potential to have to raise taxes about 7 cents. He noted that based on forecasts of new home development and
property values, Staff believed that it would not increase the current property tax rate. He addressed a comment
made by a TCMUD No. 1 Director that the Fire Department should be sold for fair market value. He believed that
was not appropriate because it technically belongs to the residents and paying a higher rate than the debt amount
is an undue burden. He felt that Fire and EMS services would be better managed under the Town to provide the
best safety and welfare for the residents.
Council Member Parrow inquired what Interim Fire Chief Lasky’s insight was since he was the expert. Interim Fire
Chief Lasky responded that there are two boards and two different budget processes that create some difficulties
to proceed with some items. They have 15 dedicated firefighters and a new building owned by another entity that
has water leaks, amongst other issues such as protective clothing. He explained that a large concern was that Fire
staff pensions, through Texas Municipal Retirement System (TMRS), would not carry over if they switched to the
TCMUD No. 1 retirement system, which would also affect recruitment and retention of staff. His personal and
professional opinion would be for Fire and EMS services to be under the management of the Council and Town
Manager, and he acknowledged that it would be a big investment upfront but the payoff would be in the long run.
Council Member Shoffner stated that according to a State report in 2013, regarding pensions, the County
retirement had 120,000 active employees, versus the municipal system of 100,000 active employees, and had a
better rate of returns.
Discussion took place that the TCMUD No. 1 funded approximately $113,000 when they bought into their
retirement system, and that there was a significant difference between an employee who had 20 and 25 years in
TMRS.
Council Member Rowe commented that Fire and EMS needed to have a single reporting structure. He was
concerned about absorbing 7.2 cents onto to the tax rate and 1.25 cents in debt capacity to make up the
difference for not having the Solana tax base, and that there was not a guarantee that the TCMUD No. 1 would
lower their tax rate.
Additional discussion ensued that if a binding referendum was called by the Town for the purchase of the assets
for the Fire Department, it would not be binding for the TCMUD No. 1 to sell it to the Town. Conversation took
place that some of the deficiencies in the Fire Station were being taken care but there were additional repairs that
were needed. The Council discussed the appropriate action to pursue given the upcoming termination of the
Interlocal Agreement for Fire Department Personnel Services on September 30, 2016.

ic Jensen, 2218 McLean Avenue, stated that he served on the Fire/EMS Joint Sub-Committee and had addressed
the Council in 2015. He provided a recap of his findings while serving on the Sub-Committee and stated that he
could have been convinced financially to move the EMS to the TCMUD No. 1, but that the more important issue
was the pension because the firefighters should not lose their TMRS pension.

Main Motion:
Main Motion made by Mayor Sanders, seconded by Council Member Parrow, to develop a financial offer to the
Trophy Club Municipal Utility District Board No. 1 of $1.9 million for the Fire Station building and $765,000 for the
capital lease of the ladder truck and not to consider the reimbursement reserve.
Mayor Sanders explained that the maintenance issues with the building should be addressed prior to the closing of
the property and that he believed it was appropriate for the Town to make an offer to TCMUD No. 1.
Town Attorney Dodd pointed out that adding a deadline to the motion would be appropriate.
Modified Main Motion:
Mayor Sanders and Council Member Parrow agreed to add a deadline of 60 days for the offer.
Motion to Amend:
Motion to Amend made by Council Member Rowe, seconded by Council Member Shoffner, to state in the offer
that the sum total would be inclusive of all wholly and jointly owned assets of the Fire Department.
Council Member Rowe commented that part of good faith is if there is equity in an asset that has already been
funded by taxpayer funds, it should be transferred at no additional cost.
The vote for the Motion to Amend was taken, to state in the offer that the sum total would be inclusive of all
wholly and jointly owned assets of the Fire Department.

Council Member Rowe advised that the proposal has the Town, at a minimum, cutting about $150,000 debt
capacity per year and increasing the tax rate by approximately 14 percent in the hopes that if accepted by the
TCMUD No. 1, they would offset most of that in a tax reduction since they would not be operating the Fire
Department.
Mayor Sanders clarified that his understanding from the information provided was that the Town could accomplish
taking over the Fire Department without raising the Town’s tax rate for next year, based on estimated income of
property values, and all that would be affected would be how much would be available in bonding capacity for
capital projects.
Town Manager Seidel advised that the residents would not see an increase in their total tax, unless the TCMUD No.
1 did not reduce their tax rate.
The vote for the Main Motion as Amended was taken, to develop a financial offer to the Trophy Club Municipal
Utility District Board No. 1 of $1.9 million for the Fire Station building and $765,000 for the capital lease of the
ladder truck and not to consider the reimbursement reserve, with a deadline of 60 days for the offer; to state in
the offer that the sum total would be inclusive of all wholly and jointly owned assets of the Fire Department; and
to include that all wholly and jointly owned assets include the land under the Fire Station with the purchase.

(Texas Open Meetings Act), the Council will convene into executive session to discuss the following:
A. Section 551.071 Consultation with Attorney under Subsection (1) when the governmental body seeks
the advice of its attorney about pending or contemplated litigation and Subsection (2) for consultation
with its attorney on a matter in which the duty of the attorney to the Governmental Body under the
Disciplinary Rules of Professional Conduct of the State Bar of Texas clearly conflict with the Open
Meetings Act (551.071(1) and (2)):
(1) Legal advice regarding fire and emergency medical services, Interlocal Agreements with the Trophy
Club Municipal Utility District No. 1 for Fire Department Services, Personnel Services, and related
matters.
(2) Legal advice regarding Town authority and enforcement of zoning laws, Town ordinances and
regulations.
B. Section 551.074 Personnel Matters to discuss or deliberate the appointment, employment, evaluation,
reassignment, duties, discipline or dismissal of a public officer or employee:
Personnel services relating to fire protection services.

Honoring William “Bill” Splichal - Served in United States Army from 1943 - 1946 in the 78th Infantry Division. This unit survived the
Battle of the Bulge and after capturing the Seigfried line, engaged in a ten day battle capturing and holding the Bridge at Remagan,
which was critical to achieving an Allied Victory, allowing 5 divisions to cross the Rhine into the German’s industrial heartland,
shortening the war and saving thousands of lives. Bill also had the Honor to be a part of General George Patton’s Funeral Ceremony.
After his discharge from active duty Bill served in the National Guard from 1948 to 1971. His unit was activated in 1950 for the Korean
War and once again Bill answered the call. At the end of his 28 years of Service to our Country rising from Private to Warrant Officer,
Bill had earned 28 Campaign Ribbons and 3 Battle Stars. Bill moved to Trophy Club in 2000 taught Trumpet at Medlin Middle School,
and in 2014 was the Honorary Veteran & Grand Marshal of our July 4th Parade of Patriots. Bill embodies the Honored History and
Patriotic Spirit of the United States Army.

Explanation:
This Interlocal Cooperation Agreement is for Police and EMS dispatch services for Fiscal Year
2016-2017. The agreement states Trophy Club Fire Department at a total cost of $4,752, the
Town covers 50% ($2,376) covering EMS.
Budget Impact:
Impact of $30,447 for Police and $2,376 (50% of the total cost) for EMS for a total of
$32,823.00.
Recommendation:
Staff recommends Council approve the Interlocal Cooperation Agreement for Shared
Governance Communications andDispatch Service System.

Explanation:
As part of Verizon’s request to place a communications facility at the site of the Town’s water
tower they must first assess the suitability of the location for their needs. This agreement gives
them access to the site to perform site investigations of the property to determine if the site
meets their needs. If they determine that the site is suitable, we would later bring forward the
communications facility for approval along with a rental agreement.

SITE ACCESS AGREEMENT
“Agreement”Dallas MTA, L.P. d/b/a
This Site AccessAgreement(this ) is executed by
Verizon WirelessLicensee
(the “”), with abusiness address of 180 Washington Valley Road,
Town of Trophy Club
Bedminster, NJ 07921, and, a Texas home rule municipality(the
“Licensor”
) whose mailing address is 100 Municipal Drive, Trophy Club, TX 76262.
BACKGROUND
“Property”
As part of Licensee’s consideration of real property (the )located at 2901 Bobcat
Blvd, Trophy Club, TX 76262, as more fully described in Exhibit “A”, attached,for the placement,
maintenance and useof a communications facility and appurtenant uses, theLicensorhas agreed to
grant to Licensee and other persons described herein, a license,to enter upon the Property to conduct
activities to help Licensee assess the suitability of the Property for its intended use. These activities
may include,among other things,environmental inspection, testing and sampling activities (“Site
Investigations”) at the Property.
The purpose of this Agreement is to enterintoa site access license governing the Site
Investigations that may be conducted by Licensee’s authorized agents, contractors, consultants and
employees.
Licensee and Licensoragree as follows:
Authority to Grant a License.
1.Licensor represents that it has the authority to grant the
accessallowed by this Agreement and that there is no need to obtain the approval or consent of any
other party. The Licensor hereby grants a license to Licensee to conduct the Site Investigation.
Access to Property and Licensor’s Consent.
2.Licensor grants to Licensee and its agents,
advisors, employees, consultants, representatives, and independent contractors, including
environmental contractors and consultants hired directly or indirectly by Licensee (collectively, the
“Licensee Representatives”
), the right, but not the obligation, of ingress to, egress from, and access
under, above, and through, the Property for the purpose of performing the Site Investigation. The
Site Investigation may include, but isnot necessarily limited to, activities intendedto(1) review
environmental, safety and health conditions;(2)conduct radio tests, including the placing of radio
broadcast/receive equipment on the Property for necessary periods; (3) conduct physical, structural
and geotechnical testing; and (4) perform boundary and other surveys. These activities may, among
other things, includethe collection and testing ofsamples of soil, water, building materials and other
substances.Without limiting the generality of the foregoing, the Licensee Representatives may drill
into the soil, drill through pavement, remove reasonable amounts of soil, install and sample
monitoring wells, and perform other tests, actions, evaluations, procedures, and treatments to
complete its investigations. The Licensee Representatives shall undertake all activities on the
Property in compliance with all applicable laws and shall use commercially reasonable efforts to
minimize the extent and duration of any interference with Licensor’s business operations on the
Property.The cost of all such activities shall be the responsibility of Licensee (or the Licensee

Representatives as arranged between the Licensee Representative and the Licensee) and not
Licensor.
Advance Notice.
3.Licensee or Licensee Representatives shall give Licensorat least twenty
four (24) hours advance notice,either orally (by telephone or in person) or by electronic message of a
planned activitythat can reasonably be expected to require invasive activities into the Property’s
subsurface, including notice of the areas of the Property that are expected to be materially affected by
any sampling, monitoring, installation, or similar action. Licensee Representatives shall cooperate
with Licensor to schedule the activities so as to minimize the extent and duration of any interference
with Licensor’s operations.
Installation, Sampling, and Removal.
4.Licensorshallcooperate with the Licensee
Representatives regarding all installation, monitoring, sampling, removal and related activities that
Licensee Representativesdesire to conduct on the Property. Licensor shallcooperate in locating
buried utilities and improvements on the Property at the request of Licensee Representative and shall
assist the Licensee Representatives in avoiding impacts to such buried or concealed features.At the
Licensor’sspecific request, Licensee Representatives shall use commercially reasonable efforts to
schedule its activities to avoid times of peak business activity on the Property. Licensorauthorizes
Licensee Representatives to obstruct temporarily, but for a reasonable period of time, access to, or
use of, limited areas of the Property to conduct Site Investigations. Licensee Representatives may
use any electrical or other utility outlets or connections on the Property to conduct its activities.
Licensee Representatives shall split all samples with Licensor upon Licensor’s request, so long as
Licensor pays for any and all additional costs incurred by the Licensee Representatives in this regard.
After completing the activities contemplated by this Agreement, Licensee or Licensee
Representatives shall remove their equipment andrestore any part of the Property that was affected
by its activities to a condition that is reasonablysimilar to the condition of the Property at the time
immediately preceding the commencement of said activities.
Indemnification.
5.(a) Licensee shall indemnify and hold harmless Licensor for any penalties,
damages or costs that result from the negligence or willful misconduct,misrepresentation or breach
of warranty inthis agreement by Licensee or Licensee representatives.
(b) To the extent permitted by law, Licensor shall indemnify and hold harmless Licensee and
Licensee Representatives for any penalties, damages or costs that result from the negligence or
willful misconduct, misrepresentation or breach of warranty in this agreement by Licensor including
any damages or injuries to Licensee Representatives persons and/or property which arise from or
relate to any existing hazardous waste, pollutant or hazardous substance presence or release
associated with or related to the Property.
(c) The indemnification in this agreement shall only apply if prompt notice is provided to the
indemnifying party. The indemnity is conditioned on the following: (i) the indemnifying party has
the opportunity to fully manage any indemnified matter as it deems appropriate (including any
required remediation or defense of claims) with employees, agents, contractors, consultants and
attorneys of the indemnifyingparty’s choosing and (ii) the reasonable cooperation of any

indemnified party (including the signing of any properly completed forms that will allow for the
continued current use of the property).
(d) The site access granted to the Licensee and/or Licensee Representatives pursuant to this
Agreement extends to any repair or restoration work required to remediate any damage to the
Property that is indemnified pursuant to this Section.

(a) Licensor understands and acknowledges that the environmental testing to be undertaken may
create legal duties applicable to Licensorif conditions of pollution are discoveredand that except to
the extent required by law, neither Licensee nor Licensee Representatives have an obligation to
report any test results or conditions to any party as a result of this Agreement. Licensee and Licensee
Representatives will provide copies of test results to Licensorunless Licensor specifically requests,
in writing, prior to the start of testing, not to receive the test results from Licensee’s review.
Licensor acknowledges that these testsare performed for Licensee’s specific purposes and cannot be
relied on by Licensor in any way as being accurate or sufficient for any purposes. Licensor agrees
and acknowledges that it is not authorized to share, provide, disseminate, present, and/or make
available the test results to any third party unless required by law.
(b) In certain cases test results regarding the environmental conditions of the property may result in
a reporting obligation specific to Licensee or Licensee Representatives. In any of those cases,
Licensee or Licensee Representative shall, if reasonably possible, notify Licensor at least twenty four
(24) hours prior to making the notification but in any case within seventy two (72) hours after
making the notificationto the appropriate agency. Licensor agrees that Licensee and Licensee
Representatives bear no responsibility for the costs resulting from that reportingand that Licensee
shall not become responsible for any conditions that it discovers during the Site Investigation.
(c) Licensoracknowledges and agrees thatanysamples that are taken during the activities
undertaken pursuant to this Agreementand any investigation-derived media (i.e., drill cuttings, well
purge water) generated by the investigation may require off-site disposal based upon test results.
Licensor agrees to execute all properly completed waste manifests or other documents required for
proper disposal of test results. Licensor’s obligation to sign any properly completed waste manifests
or other documents required for proper disposal survives this Agreement so long as those items that
require disposal were generated pursuant to this Agreement. The cost of off-site disposal of media
will be paid for by Licensee or the appropriate Licensee Representative, not Licensor.
(d) Licensee may use the results of the Site Investigation as it deems appropriate and may share the
results with third parties, including,but not necessarily limited to attorneys, consultants, contractors,
employees and regulators.
Termination.
7.This Agreement shall terminate automatically on the earlier of: (1) execution
of a lease agreement for any part of the Property between Licensee and Licensor, or (2) a decision by
Licensee that the site is unsuitable.

Waiver; Modification; Severability.
8.An extension, amendment, modification, cancellation,
or termination of this Agreement will be valid and effective only if it is in writing and signed by each
party to this Agreement, except as provided otherwise in this Agreement. In addition, a waiver of
any duty, obligation, or responsibility of a party under this Agreement will be valid and effective
only if it is evidenced by a writing signed by, or on behalf of, the party against whom the waiver or
discharge is sought to be enforced. Whenever possible, each provision of this Agreement should be
construed and interpreted sothat it is valid and enforceable under applicable law. However, if a
provision of this Agreement is held by a court of competent jurisdiction to be invalid or
unenforceable, that provision will be deemed severable from the remaining provisions of this
Agreement and will not affect the validity, interpretation, or effect of the other provisions of this
Agreement or the application of that provision to other circumstances in which it is valid and
enforceable.
Assignment;Third Party Beneficiaries.
9.Neither the entry of this Agreement or any action
taken by Licensee hereunder shall create any third party beneficiary or third party beneficiary rights.
Legal Matters.
10.The validity, construction, enforcement, and interpretation of this Agreement
are governed by the lawsof the State where the Property is located and the federal laws of the United
States of America.
Notices.
11.Except for oral notices specifically authorized in this agreement, notices permitted
by this Agreement will be valid only if such notice isin writing, delivered personally or by e-mail,
telecopy, commercial courier, or first class, postage prepaid, United States mail (whether or not
certified or registered and regardless of whether a return receipt is requested or received by the
sender), and addressed by the sender to the intended recipient at its address set forth in the first
paragraph of this Agreement, or to such other address as the intended recipient may designate by
notice given to the sender in accordance with this section. A validly given notice, consent, demand,
request, or approval will be effective on the earlier of its receipt, if delivered personally or by e-mail,
telecopy, or commercial courier, or the third day after it is postmarked by the United States Postal
Service, if delivered by first class, postage prepaid, United States mail. Each party promptly shall
notify the other of any change in its mailing address ortelephone contact number stated in this
Agreement.
Complete Agreement; Survival.
12.This Agreement records the entire understanding between
the parties regarding the subjects addressed in it and supersedes any previousor contemporaneous
agreement, understanding, or representation, oral or written, by either of them.
Execution and Effectiveness.
13.The parties may execute this Agreement in counterparts. Each
executed counterpart will constitute an original document, and all executed counterparts, together,
will constitute the same agreement. This Agreement will become effective upon the last signatory’s
delivery of the fully executed document to the other party, and the last signatory shall fill in the
EXECUTED date below prior to such delivery.

Explanation:
During the early stages of Fiscal Year 2015, Council elected to reduce the annual annuity
increase of TMRS from 70% of CPI to 30% of CPI and asked to be provided the information on
an annual basis to consider its options. With the current annual annuity increase of 30% of CPI
the TMRS rate for calendar year 2017 is 13.26%. Choosing an annuity increase of 50% or 70%
would increase the TMRS rate for calendar year 2017 to 15.04% or 16.83%, respectively.
